affecting the powers or privileges, or the regulation of companies, which does not on the face of it, as it appears to us, shew that the Legislature had in contemplation only companies bonâ fide working out their objects within the jurisdiction of the English law.

from such a contrast be weakened by an interpretation clause which overrides the whole? To refer to the illustration used by our correspondent Q., of an act with a clause exempting cavalry from its operation, would not the conclusion drawn by him have been rather strengthened than weakened if the act had contained a glossary, explaining that the words "person or persons" were meant to include soldiers? We think the conclusive answer to our correspondent's objection to be, that it would, as he suggests, completely nullify the enactment, and that by a conclusion not necessarily flowing from the words employed.]

It may, of course, be urged against all these arguments, ab inconvenienti, that they amount to no more, than that the act is not intended to apply to the particular companies, and in the particular cases, in reference to which it cannot be enforced. But we submit, that it is a sound rule of construction, in interpreting acts of Parliament, to impute to the Legislature a knowledge of the circumstances under which its acts may take effect; and that, if one can shew a probable, or even possible, state of things, to which its provisions, THE LORD CHANCELLOR'S BILL FOR "AN as they stand, are inapplicable, and for which the occurrence of a special provision might have been, but has not been, made, the true legal inference is, that the Legislature did not intend its act to include objects susceptible of being brought within such a state of circumstances, by the force of an external and foreign jurisdiction.

SIR,-I was in great hopes, when, in a recent Number, I saw the letter from your correspondent Q., alluding to one of the greatest difficulties which I find in the late "Transfer of Property" Act, that I should have met with something which would have completely settled the point. But it appears to me, notwithstanding the off-hand style in which your correspondent deals with the question, and the ill-judged allusion he makes to the folly or want of sense in those who may not happen to agree with him, that his letter by no means solves the difficulty. Without going into all the matter which the writer enters upon, it is sufficient to take one sentence as applicable to the whole subject, for the answer to that is an answer to all the rest. He there says, that "the 2nd, 3rd, 4th, and 10th sections (of the act) speak of land only: no such words as estate, right, or interest' occur in them." But what does the 1st section of the act say? "That the words and expressions hereinafter mentioned shall in this act be interpreted as follows: viz. the word 'land' shall tend to manors, &c., and to any estate or interest therein." Then comes the 13th section, and says, "This act shall not extend to any estate, right, or interest created before the 1st day of January, 1845." Now, I would simply ask your correspondent one question, whether, in taking a conveyance of freeholds from any party since that time, he has met with one person (though I will not deny that such a thing may have occurred) whose estate or interest in the land was not created before the 1st January. If it was, how is the act to operate, or for what purpose is it available? Lincoln's Inn, July 4, 1845.

ACT TO AMEND THE LAW OF REAL PRO-
PERTY."

TO THE EDITOR OF THE JURIST.

SIR,-In your remarks in the last Number of THE JURIST upon this unfortunate attempt at amendment, you observe, that, "to attempt to undo what has been done by repealing alterations, which, so far as they go, are improvements, would be wantonly to incur the evils of change twice over;" and a case within my own knowledge will serve to illustrate the truth of this observation.

In the beginning of this year, two persons joined in making up a sum of money to be advanced to a third person on mortgage, and it was agreed, that, in case of the death of either of the lenders, the survivor should be capable of giving a discharge to the whole sum lent. However, all parties being desirous that the transaction should be effected in the shortest and simplest manner, a mortgage deed was prepared, which was drawn as it cept that it did not contain any statement that the would have been if the loan had been a joint one, exmoney belonged to the mortgagees on a joint account, nor any declaration providing for the case of survivor ship. In this state the deed was executed, the parties being satisfied that the 10th section of the 7 & 8 Vict. c. 76, would carry out their intentions without any express declaration being inserted in the deed; and there can be no doubt that such would have been the case. Now, however, the present bill proposes to repeal the 7 & 8 Vict. c. 76; and, as it contains no re-enactment of the 10th section of that act, nor any clause saving securities made during the time of its being in opera tion, the mortgagor may, on a transfer or re-conveyance, be put to trouble and expense, from which the law, as it now stands, would have relieved him, and to which liable; and all this because he was so simple as to supit was the intention of the parties he should not be pose that the Legislature would not, while amending and explaining what was injudicious or doubtful in the Transfer of Property Act, repeal one of its enactments, which all admit to be an useful one, and with the wording of which no one has ever found fault. Monday, July 7.

Lord Brougham moved the second reading of the Administration of Criminal Justice Bill. His Lordship referred to the inconvenience which arose in the trial of prisoners in different counties, in consequence of the provisions of the law, which required that all prisoners should be tried in the same part of the country in which the offence imputed had been committed. It was proposed, in order to remedy this, that certain towns should be fixed upon as assize towns, to be declared by the Queen in council, and the prisoners in each of the counties

within a certain ambit were to be taken to be tried in those towns, so that the same judge should deliver them out of gaol. It was proposed, in order to obviate the hardship on prisoners of bringing their witnesses from a distance, that the treasurer of the county should be required, on the certificate of the judge, to pay the expenses of conveying the prisoner's witnesses. If this measure were not adopted, more judges must be appointed, as the present number could not deliver the gaols. To appointing additional judges there would be this objection, that it would not be easy to devise employment for them throughout the year. By the addition of two judges, on the other hand, an improvement might be made in the practice at chambers, as the two judges might sit permanently as a court, with the assistance of a regular bar. If the chamber practice were thus made more public, one objection to appointing additional judges would be removed.

After some discussion, it was arranged that a fresh commission should be issued, as the report (lately made by the present commissioners) was considered by their Lordships unsatisfactory, and that, until the report of the new commission, the bill should not be pressed beyond the second reading. The bill was then read a second time.

The Documentary Evidence Bill went through committee, and was ordered to be reprinted with some additional clauses, the most prominent of which is a clause making the journals of either House of Parliament evidence in courts of justice.

Sir R. Peel announced, that Government would not proceed with the Charitable Trusts Bill this session. With respect to the Ecclesiastical Courts Bill, Government would be ready to support it, if proceeded with by Lord J. Russell, (who had charge of it); but the Right Honourable Baronet would not undertake that Government would take charge of it.

On this, Lord J. Russell announced that he should not proceed with the Ecclesiastical Courts Bill.
