21.—(1) The Lieutenant Governor in Council may by Suspension Order in Council from time to time suspend the operation by-laws of any or all the provisions of this Act or of any by-laws, rules or regulations made in pursuance of the powers herein granted, during such time as is mentioned in the Order in Council, or until further order and may by Order in Council remove such suspension; and during the time when the operation of this Act or any provisions thereof or any by-laws, rules and regulations made pursuant thereto are so suspended, the said Act, or such provisions thereof, or such by-laws, rules and regulations shall have no force or validity whatsoever.

(2) Notice of such suspension shall be given in The Alberta Gazette. [1907, c. 5, s. 23.]

CHAPTER 202.

An Act to incorporate The Institute of Chartered
Accountants of Alberta.

IS MAJESTY, by and with the advice and consent of the Legislative Assembly of the Province of Alberta, enacts as follows:

Short Title.

1. This Act may be cited as "The Alberta Chartered Accountants Act."

2. The Institute of Chartered Accountants of Alberta, hereinafter called "the Institute" is hereby continued as a body corporate. [1910(2), c. 43, s. 1(1).]

3. The objects of the Institute shall be to promote and increase, by all lawful means, the knowledge, skill and proficiency of its members in all things relating to the business or profession of an accountant, and to that end the Institute shall have power to establish classes, lectures, and examinations, and prescribe such tests of competency, fitness and moral character as may be thought expedient to qualify for admission to membership.

4. The head office of the Institute shall be in the Province of Alberta at the office of the secretary for the time being, until such time as the Institute decides in general meeting upon the permanent situation of the head office.

5. (1) An annual meeting shall be held, at such time and place and under such regulations and notices as the Institute by by-law determines, for the election of members to the Council of the Institute, and for the transaction of such other business as may be brought before such meeting.

(2) In default of such elections being held as aforesaid, members of the council shall continue to act until their successors are duly elected. [1910(2), c. 43, s. 4.]

6. (1) The affairs and business of the Institute shall be managed by a council which shall consist of not less than six and not more than twenty-one members and shall be constituted in the manner hereinafter provided.

(2) Every nomination of a candidate for election to the Nomination council shall be in writing, signed by two members of the Institute, and shall be lodged with the secretary at least. fourteen days before the date of the annual meeting.

(3) A voting paper containing the names, alphabetically Election of arranged, of the persons nominated for election to the council, shall be sent by mail to each member in good standing at least ten days before the date of the annual meeting, and the council shall be elected by means of such voting papers, whether the members voting be present at or absent from the annual meeting.

(4) All vacancies which may occur in the council, by Vacancies death or otherwise, in the interval between two annual meetings, may be filled by the council. [1910(2), c. 43, s. 5.]

7. The council shall elect from among its number a Offices president, two vice-presidents, a secretary, a treasurer (the same person being capable of holding both the last mentioned offices), and such other officers as may be provided for by by-law. [1910(2), c. 43, s. 6.]

8. The objects and powers of the Institute shall be By-laws carried out and exercised under by-laws and resolutions passed by the council, but every such by-law, unless in the meantime confirmed at a general meeting of the Institute called for the purpose of considering the same, shall have force only until the next annual meeting, and in default of confirmation thereat shall cease to be in force:

Provided that any by-law passed by the council may be repealed, amended, varied or otherwise dealt with by the Institute, at any annual general meeting or at a special meeting called for the purpose. [1910(2), c. 43, s. 7.]

Educational Powers.

9.-(1) The council may from time to time—

(a) prescribe a curriculum of studies to be pursued by
the students;

(b) determine the fitness and moral character of persons
applying to be examined;

(c) prescribe the subjects upon which candidates for
certificates of competency shall be examined;

(d) fix standards of skill and competency;

(e) establish a scale of fees to be paid by persons
applying for examination;

(f) appoint examiners, define their duties and fix their
remuneration, and

(g) make such rules and regulations (not contrary to the provisions of this Act or the by-laws of the Institute) in respect to examinations as may be expedient.

(2) The council shall prescribe reasonable conditions upon which persons who have passed the examinations of other corporate bodies having the same or similar objects may be admitted as members of the Institute.

(3) Such conditions shall be subject to amendment from time to time and to change by order of the Lieutenant Governor in Council. [1910(2), c. 43, ss. 8, 9.]

10. The Institute may establish lectures and classes of students in accounts, and may, subject to the approval of the Lieutenant Governor in Council

(a) make arrangements with any university or college in Alberta for the attendance of students in accounts at such lectures or classes in any such university or college as may come within the course of subjects prescribed by the rules, by-laws and regulations of the Institute;

(b) make an agreement with any such university or college for the use of any library or museum or property belonging to or under the control of such university or college;

(c) affiliate with any such university or college, and make all necessary arrangements upon such terms as may be agreed upon. [1910(2), c. 43, s. 10.]

Fees.

11. (1) The council may, upon the approval thereof by a two-thirds majority of the members, adopt a tariff of the fees which may be demanded by members of the Institute and may in the same manner amend the same.

(2) The Lieutenant Governor in Council may direct that the fees authorized by the said tariff shall be recoverable in law by a member of the Institute in any court of competent jurisdiction. [1910(2), c. 43, s. 11.]

Power to hold and dispose of property

12. The Institute may take, purchase, hold or dispose of any personal property, lands, buildings and hereditaments, for the purpose of the association, but the Institute shall apply all its profits, if any, or other income, in promoting its objects, and shall not at any time pay any dividend to its members:

Provided that nothing in this section shall prevent the remuneration of members of the council or officers of the

Institute for services rendered, out of any surplus remaining after the ordinary expenses of the Institute have been met. [1910(2), c. 43, s. 12.]

13.-(1) The membership of the Institute shall consist Classes and of two classes, namely: Fellows and Associates.

(2) Every member of the Institute shall have the right during the continuance of his membership to use the designation "Chartered Accountant" and may use after his name in the case of a Fellow the initials "F.C.A.," signifying "Fellow of the Chartered Accountants," and in the case of an Associate the initials "A.C.A.," signifying "Associate of the Chartered Accountants." 14. Persons who have rendered conspicuous services Honorary to the Institute, either in the advancement of its educational objects or general welfare, or by material contribution to the library or other funds of the Institute, may by unanimous vote of the members present at any meeting of the members be elected to honorary membership of the Institute, but honorary membership shall not confer upon any person elected thereto the right to use the designation "Chartered Accountant," or to be elected to the council or to vote. 15. No person shall be entitled to take or use the design- Penalties ation of "Chartered Accountant" or the initials "F.C.A.,' "A.C.A.," or "C.A.," either alone or in combination with other words, or any name, title or description implying that he is a chartered accountant, or any name, title, initials or description implying that he is a certified accountant or an incorporated accountant, unless he is a member of the Institute in good standing and registered as such, and any person using a name, title, initials or description contrary to the provisions of this section shall be liable on summary conviction to a fine not exceeding fifty dollars for each offence. 16. (1) The council shall cause to be kept by the Membership secretary or other officers, a register, in which shall be entered in alphabetical order the names of all members in good standing; and only the persons whose names are inscribed in the register shall be deemed entitled to the privilege of membership in the Institute.

(2) The register shall at all times be subject to inspection by any person free of charge.

(3) The register, or a copy thereof duly certified by the secretary or registrar, shall be prima facie evidence in all
