CHAPTER 148.

An Act to incorporate "The Winnipeg Industrial Bureau."

Preamble.

WHEREAS Frederick W. Heubach, William J. Bulrian,

Alexander Simmers and others, all of the City of Winnipeg, in the Province of Manitoba, have associated themselves for the purpose of developing manufacturing in the City of Winnipeg by disseminating information respecting the opportunities for manufacturers in the said city, by holding exhibits manufactured therein, and by promoting the immigration and training of competent artisans, and for the further purpose of promoting plans of all kinds which may in any way tend to the development of the City of Winnipeg, and have heretofore carried out the said purposes under the name of "The Winnipeg Industrial Bureau," and have represented that the advantages arising from their association would be increased if they and their associates were incorporated and certain powers conferred upon them, and have petitioned His Majesty and the Legislative Assembly of Manitoba for incorporation for the said purposes; and whereas it is expedient to grant the prayer of the said petitioners,

Therefore His Majesty, by and with the advice and consent of the Legislative Assembly of Manitoba, enacts as follows:

1. The said Frederick W. Heubach, William J. Bulman, Alexander Simmers and others, and all other persons, firms, corporations and associations who now are members of "The Winnipeg Industrial Bureau or may become members of the corporation hereby created, shall be and are hereby constituted a body politic and corporate under the name of "The Winnipeg Industrial Bureau," hereinafter called the said bureau, and may by that name sue and be sued, implead and be impleaded, answer and be answered, defend and be defended in all courts of law and equity, and by that name they and their successors shall have perpetual succession, may have a common seal and may change and alter the same at pleasure, and may do all acts and things necessary or in any way incidental to the carrying out of the purposes and objects hereinafter set out.

2. The purposes of the said bureau are hereby declared to Purposes. be, and the said bureau is hereby authorized and empowered:

(b) To act as correspondent for newspapers, magazines, News agency. periodicals, and to furnish news of all kinds of a nature to further the purpose of the bureau;

(c) To conduct excursions, trips and tours of all kinds, Excursions. with a view to making known the resources of the City of Winnipeg and territory served by the commerce and manufactures thereof, and to promote the development of the same;

(d) To arrange, manage and hold conventions and public conventions, meetings of all kinds, lectures of all kinds, exhibitions of all lectures, etc. kinds in Manitoba and elsewhere, for the purpose of pro

moting the development of the industries, commerce and manufactures of the City of Winnipeg;

(e) To act as agents for any person, firm or corporation Exhibitions. or government in the holding of exhibitions, the giving of lectures, the conducting of excursions or tours in any manner likely to further the objects of the bureau;

(k) To encourage and aid in the establishment of manufacturing industries in the City of Winnipeg;

(1) To receive commission and fees and charges for work done for any persons, firms, corporations or governments, pursuant to the powers hereby given; to impose and collect membership dues and fees; to charge tolls or admission fees, rents or other charges for or in connection with any of the undertakings of the bureau; to employ experts, secretaries, clerks and agents to carry out the undertakings of the bureau, at such remuneration as may be deemed advisable;

(m) To act as agents for railroad companies, steamship companies and transportation companies of all lands;

(n) To borrow money upon the credit of the bureau, and to issue bonds, debentures or any securities of the said bureau for the purpose of the bureau, and to pledge or sell the same, for such sums and at such prices as may be deemed advisable;

(0) To hypothecate, mortgage or pledge all or any of the real or personal property, rights or powers of the bureau, to secure any such bonds, debentures or other securities of any indebtedness, or sum or sums borrowed for the purposes of the company;

(p) To make, draw, accept or indorse bills of exchange or promissory notes, enter into contracts of all kinds with a view to carrying out any of the objects of the bureau;

(q) To lend money to such persons and on such terms as may seem expedient, and to guarantee the performance of contracts by any such persons.

3. The members of such bureau may from time to time. in general meeting, make and pass by-laws for the government of the said bureau and for the guidance of the officers and board of directors thereof, and may amend or repeal the same from time to time; provided always that such by-laws shall not be contrary to this Act or repugnant to the laws of the Province.

4. The said by-laws shall be entered in a book kept for such purpose, and signed by the chairman of the meeting of the said bureau at which the same are adopted or passed, and by the secretary thereof, and such books shall be deposited among the records of the said bureau.

5. A copy of the said by-laws, under the hand of the secretary and the seal of the bureau, shall be admitted and re

ceived as evidence of the said by-laws in any court of this Province, without proof of the signature of the said secretary.

8. An annual meeting of the members of the said bureau Annual shall be held for the election of the board of directors, and for such other purposes as may be brought before such meeting, at such time and place, and under such regulations and notices as the by-laws of the said bureau shall determine, and may be adjourned as decided at such meeting, but in case of an accident, failure or neglect to hold such general election, the said bureau shall not lapse or determine, but shall continue and exist, and the officers shall hold office until the next general election or until such other period as may be provided for in the by-laws.

10. For the purpose of organizing the said bureau the First said petitioners shall be a provisional board of directors until others, under the provisions of this Act, shall be elected in their place, and the said provisional board hereby appointed shall, until the said election, have full power to do all matters and things necessary for the full organization and working of the said bureau and for the government of the said bureau, and they may call a general meeting of the members of the
