B. under his statutory power overrode the registration of the bankruptcy, is it necessary to take any steps to obtain cancellation of the entries relative to receiving order, &c.? (2) Freehold property belonging to X. was mortgaged before 1926 to A. and B. for £1000 expressed to be moneys belonging to them in equal shares. A. died this year and it is now desired to discharge the mortgage. Which of the following is the correct procedure: (i.) Should B. alone execute the endorsed receipt or transfer the mortgage after reciting therein A.'s death? (ii.) Should B. and the personal representatives of A. execute the endorsed receipt or transfer of mortgage? (iii.) Should B. appoint a trustee in place of A.? (3) It is desired to vest two freehold cottages jointly in the respective chairmen for the time being of two adjoining parish councils and a third person as trustees upon trust to allow the cottages to be occupied, rent free, by deserving aged couples living within the two parishes and to purchase and settle £200 Government stock on the trustees upon trust to devote the income arising therefrom to repairing the cottages and insuring them against fire. There are to be always three trustees, and when the third person ceases to be a trustee the two chairmen are to appoint a new trustee. (a) Ought the conveyance to the trustees and the trusts upon which they are to hold the property to be contained in one instrument, or in a vesting deed and trust instrument? (b) In which deed ought there to be a recital of the transfer of the £200 Government stock, and the trusts thereof ? (c) What registrations and formalities are to be complied with? (d) Is it sufficient to vest the property in the chairmen of the two parish councils as such, without mentioning their names? (e) Is stamp duty payable on the value of the property settled?

12. RENT ACTS.-(1) House leased for three years from the 24th June 1924 to old and present tenant, and after that on yearly tenancy subject to six months' notice. Can landlord after due notice obtain possession without alternative accommodation? Landlord wishes to offer for sale with vacant possession. (2) Can an ex-Service man, who has now bought a house for his own occupation, eject the present tenant without alternative accommodation being offered? The tenant is also in arrear with rent. X. Y. Z.

13. LEASEHOLDS MORTGAGE TO BUILDING SOCIETY-FIRE INSURANCE.-All leases on a certain estate contain a covenant that the buildings shall be insured through the X. Insurance Office. Several lessees have mortgaged the premises comprised in their leases to the A. Building Society. The Building Society mortgage contains a stipulation that the society shall insure the premises. The society have insured in another office, with the result that the Lessees are burdened with a double insurance premium every year during the currency of the mortgage. Representations have been made to the society, who express their willingness to insure in the X. Office provided the insurance is placed through their agency. To this the agents for the freeholders will not agree, and the X. Office are not willing to transfer the agency unless the freeholders' agents are agreeable. It has been pointed out to the society that on other estates with other societies the societies have waived their commission. It is suggested that the X. Office will send the demand notes to the society in the usual way, but the freeholders' agents will draw the commission, and the freeholders' agents are agreeable to this course. It is maintained that if the society are willing to insure in the X. Office they have no right under the mortgage to require the commission to be paid to them, for that is what the dispute amounts to. Authorities will oblige. It is believed that the Law Society had the point referred to them some time ago. C. M. H.

14. INTESTACY SUCCESSION.-A. died recently intestate, leaving two first cousins (children of a deceased maternal aunt), her next of kin. She also left six first cousins once removed (children of deceased first cousins), the grandchildren of two deceased paternal aunts. It is proposed to distribute the estate as follows:-Onethird to the two first cousins of the intestate and one-third to each set of grandchildren of the two paternal aunts. Is such distribution n accordance with the present statute law? A. S.

15. INTESTACY-GAVELKIND-WILL-SALE.-In 1917 Mrs. A. B. died intestate, seised of certain freehold land situate in Kent and, presumably, subject to the custom of gavelkind. She left surviving her a husband and two daughters but no son. The husband obtained letters of administration and, out of the estate, paid off a mortgage on the land created by the intestate. In 1926 the husband died, having made his will, which was duly proved by the named executors. According to the custom of gavelkind the husband was by the curtesy entitled to a life interest in one moiety, subject thereto the land passed to the two daughters in equal shares. It is now desired to sell, and the question arises--who are the persons to convey, and in what capacity? B. AND G.

185. LAW OF PROPERTY Acrs.-We are much obliged to your readers who have given their views on the two points mentioned in our query, but we should be further obliged if G. O. S. will be good enough to state whether, having regard to what is contained with reference to Secret Trusts in Wolstenholme and Cherry's Conveyancing Statutes, 11th edit., vol. 1, Introduction, p. cvii., he is still of the same opinion that the legal estate referred to in the second part of our query remains vested in B. T. S.

ANSWERS

1. CONSTITUTIONAL PRACTICE.-If during its lifetime a Parliament is dissolved by Proclamation, that document contains provisions for calling a new Parliament "as soon as may be ": (Anson, 1922 edit., vol. 1, p. 56). If, however, Parliament is dissolved by mere efflux of time nothing seems to have been laid down to secure that a new Parliament shall meet as soon as practicable. Is there anything, then, except the need for appropriating supply and passing the Army and Air Force Act (Anson, as above, p. 324) which makes it necessary, in the case last supposed, to call a fresh Parliament ? Beyond the statute of 6 Will. & Mary, c. 2, which provides that Parliament shall meet at least every three years, there is now no statutory obligation on the Crown, or on any one else, to see a fresh Parliament meets as soon as an old one is dissolved. The position is clearly stated in Anson. The necessity for voting supplies and for the passing of the Army Act makes the holding of an annual Parliament inevitable; the Government of the country could not be legally carried on without a Parliament sitting for some period every year. Beyond this, there is no need to call a Parliament. The complexity and extent of modern legislation require that Parliament should sit practically without intermission, but this necessity results from circumstances and not from any constitutional law. Since the passing of the Septennial Act in 1715 the life of Parliament has never been allowed to expire by effluxion of time : (Wharton's Law Lexicon, 12th edit., tit. Septennial Act "). The life of Parliament is now limited to five years: (Parliament Act 1911, s. 7). Apart from the Acts mentioned in the query there are others which expire annually unless renewed (see Expiring Laws Continuance Act 1926 Schedule) so that an annual Parliament is necessary to renew them. 2. SLANDER. After a race meeting, five men, A.-E., are discussing the running of Mr. G.'s horse, and B. says that he thinks G. "does not run his horses straight." The other four take up the cudgels for G., and B. observes to A. in the presence of the others, I have heard things said about you which I never repeat." Is the last statement defamatory?

The words mentioned seem to be too vague to support an action for slander. They do not impute any precise and definite offence, and they do not seem to come within the four cases in which words are actionable per se without proof of special damage. Unless they are productive of damage an action will not lie. This is where Islander differs from libel. G. O. S.

3. ACTIONS ON COVENANTS BY PERSONS WHO ARE NOT COVENANTEES.-The owners of a building estate inserted the following covenant in conveyances to purchasers of plots fronting a main road which runs through the estate : The purchaser shall when so required to do by the local authority give up for road widening purposes the whole or any part of the said land which lies within a distance of 30ft. from the highway shown on the said plan on being paid compensation for so doing by such local authority at the same rate per square yard as the purchaser is now paying for the purchase of the same from the vendors." Are the local authority entitled to proceed direct against the covenantors to enforce the covenant by virtue of sect. 56 of the Law of Property Act 1925 ? C. D.

Sect. 56 of the Law of Property Act 1925 empowers the local authority to proceed direct against the covenantor: (see Dyson v. Forster, 99 L. T. Rep. 942; (1909) A. C. 98). A.

Sect. 56 of the Law of Property Act 1925 takes the place of sect. 5 of the Real Property Act 1845, in part. An example of the working of this latter section is to be found in Dyson v. Forster (99 L. T. Rep. 942; (1908) A. C. 98) affirming a decision of the Court of Appeal sub nom. Forster v. Elvet Colliery Company Limited (98 L. T. Rep. 736; (1908) 1 K. B. 629). Applying the principle of this case to the facts in the query the local authority cannot enforce this covenant. G. O. S.

4. TRUSTEES CESTUI QUE TRUST-TRANSFER.-A. was the owner of certain freehold property. In 1902 in consideration of natural love and affection he conveyed it unto X. and Y. and their heirs to the use of himself (A.) for life and after his decease to the use of B. (his wife) her heirs and assigns, and it was declared that X. and Y. should be trustees for the purposes of the Settled Land Acts 1882 to 1890. A. died in 1906. The trustees, X. and Y., have, since the death of A., collected the rents of the property and paid the net income of B., but now, owing to infirmity, wish to give up the trusteeship. B. desires to take complete possession and will probably sell the property later on. What is necessary to be done?

I do not think that any steps need be taken in this matter as the case appears to fall clearly within the scope of the Law of Property Act 1925, First Schedule, Part II., pars. 3 and 6 (d). Immediately after the commencement of the Act B. was entitled to have the legal estate in this property conveyed to or otherwise vested in her; this being so the Act automatically vested the legal estate in her. The conveyance of 1902 shows upon its face that after the death of A. the trustees became bare trustees for B.; a purchaser has in this deed alone, combined with evidence of A.'s death,

sufficient to show that X. and Y. were only bare trustees for B., and should accept title from B. without more ado. X. and Y. may, as they are giving up the administration of the trusts, require B. to release them from the trust, but this is a matter between the trustees and B. and will not affect B.'s capacity to deal with the property. The settlement came to an end on the death of A. in 1906 and the trustees should then have conveyed the property to B. in whom the legal estate now seems to be vested: (Law of Property Act 1925, Sched. I., Part II., par. 6 (d). Now, the trustees should convey the property to B. under sect. 7 (5) of the Settled Land Act G. O. S.

1925.

5. MOTOR CAR-NEGLIGENCE.-A., the daughter of the owner of a motor car, was driving the car along a road on the proper side at a moderate speed, and when approaching the entrance to a main road (which runs at right angles to the road mentioned) an unknown person in the main road signalled to A. that the way was clear for her to emerge on to the main road. A. immediately steered the car across the road and came on to the main road on her wrong side (she cut the corner) and collided with a motor cyclist who was proceeding along the main road at a moderate speed. Was A. negligent in entering the main road on her wrong side after the signal mentioned above? The rider of the motor bicycle was slightly injured and the motor bicycle considerably damaged. Has any reader met with a similar case? A reference to any decided case on the point would be appreciated. S. C.

I think A. was negligent under the circumstances mentioned. She should have taken care to enter the main road in such a manner as not to endanger the motor cyclist (McNair v. Glasgow Corporation, Ct. Sess. (1923) S. C. 397). The signal only meant that the left or near side of the road was clear: (Highway Act 1835, s. 78). G. O. S.

6. MORTGAGORS-TENANTS IN COMMON-TRANSFER.-In 1904 a freehold property was mortgaged to A. and B. as tenants in common, A. and B. each lending £500. A. died in April 1925, leaving by her will all her estate to X., whom she also appointed her executor. B. died in Nov. 1926, also leaving by her will all her estate to X., and appointing Y. and Z. her executors. It is now desired to transfer the whole mortgage to X., to whom it now belongs. How is this to be done? Should it be done by a transfer to X. of the benefit of the mortgage by X. as the personal representative of A. and by Y. and Z. as the personal representatives of B.: X., Y., and Z. transferring as mortgagees ? or does sect. 1 (4) of Part IV. of the First Schedule to the Law of Property Act 1925 apply and is a term of years now vested in the Public Trustee? In the latter case how is the mortgage to be transferred to X? S. H. AND CO.

Immediately before the Law of Property Act 1925 came into operation the legal estate in this property was held at law in undivided shares vested in possession. The fact that the legal estate was held by B. and X., as mortgagees, does not prevent the land falling within the ambit of Part IV. of the First Schedule of the Law of Property Act 1925. Part IV. does not exempt from its scope tenants in common who are mortgagees, and, as there appear to be no other provisions to meet the case, this part of the transitional provisions must apply. Presumably X. had not assented to the devise of a moiety of the mortgaged property to himself before 1926. The property was consequently not at that date vested absolutely and beneficially in not more than four persons of full age. X. was not beneficially entitled; he held only as executor. The case therefore falls within par. 1 (4), and the property vested in the Public Trustee. X., Y., and Z. should now join in appointing trustees in the place of the Public Trustee under the power conferred by par. 1 (4) (iii.). They can appoint themselves. When such appointment has been made the trustees so appointed can convey the property to X. The fee simple has, under Part VII. of the Transitional Provisions, become a term of 3000 years. The above appears to be the only method by which this transaction can be carried out. L. I.

The transfer should be made by the personal representative of the survivor of the mortgagees: (see Prideaux's Conveyancing Precedents, 22nd edit., vol. 2, p. 286). Assents should of course be first executed by X. and Y. and Z.: (Administration of Estates Act 1925, s. 36). The Public Trustee is not concerned.

G. O. S. 7. CANADA NATIONALITY INTESTACY. A Canadian-born British subject married an English lady, who resided with her husband in Canada. The wife died recently intestate, leaving surviving her husband and infant children, viz., two sons and two daughters. Who takes her real and personal estate (a) in England and (b) in Canada ?

(a) Two different systems of law control the devolution of a deceased's real and personal estate in England, where the deceased died domiciled in another country. Every question with regard to the devolution of immoveables, or land, in consequence of death, is governed by the lex situs (see Dicey, The Conflict of Laws, 4th edit., p. 558; Duncan v. Lawson, 1869, 41 Ch. Div. 394). The devolution of personal estate, on the other hand, is governed by the law of the actual domicile of the intestate at the time of his death. Before the deceased's real or personal estate can be dealt with in this country her personal representatives must take out a grant of

administration here: (see Attorney-General v. New York Breweries Company, 79 L. T. Rep. 568; (1899) A. C. 62). When this is done and the estate has been cleared the personal representatives will hold the real estate upon trust for the persons entitled to it according to English law. Presumably the lady died after 1925, in which case the personal representatives hold the land upon trust to sell and to stand possessed of the proceeds of sale upon the trusts laid down in the Administration of Estates Act 1925, Part IV. The personal representatives will hold the personal estate upon trust for the persons entitled thereto according to the law of Canada, or rather, according to the law of the province where the deceased was domiciled at the time of her death. (b) In this case both the real and A. personal estate devolves according to the law of Canada.

The devolution of real property follows the lex loci and the devolution of personalty follows the law of domicile. So that English realty will go according to the Administration of Estates Act 1925. Canadian realty and personalty and English personalty will go according to Canadian law, for the lady acquired a Canadian domicile on her marriage. G. O. S.

8. MORTGAGEE IN POSSESSION-PURCHASER FROM MORTGAGEE.— A., mortgagee in possession, has sold the mortgaged property to B. for £1000. There is a second mortgage to C. for £150, the first mortgage being for £1400. The second mortgagee will, therefore, not be paid. Can A. convey the mortgaged property to B. free and discharged from the second mortgage to C.? The mortgages were all made before the 1st Jan. 1926 and possession taken by the first mortgagees before that date. Form of precedent by mortgagees to the purchaser will oblige. Jus.

A. can sell under the power conferred upon him by the Law of Property Act 1925, s. 101, and the effect of the sale will be to override the second mortgage. C. will lose his security, and the conveyance will vest in B. the fee simple in the land conveyed, subject to any legal mortgage having priority to A.'s mortgage, but freed from any subsequent mortgages which will merge and be extinguished: (see sect. 88 of the Act). For a form, see the Fifth Schedule, Form 4, of the Law of Property Act. This form assumes that the mortgage is made after 1925, but it can be adapted by the proper recitals to the case of a mortgage made before 1925: see, too, the Encyclopædia of Forms and Precedents, 2nd edit., vol. 15, p. 717. DE P. A. can convey free from the second mortgage. Sect. 88 (1) of the Law of Property Act 1925 will extinguish the mortgage in right of which the sale is made and any subsequent mortgages. precedent see Prideaux's Conveyancing Precedents, 22nd edit., vol. 1, p. 534. But A. will be liable in damages to the second mortgagee unless he (A.) has given notice to the second mortgagee of his intention to exercise the power of sale: (Hoole v. Smith, 145 L. T. Rep. 38; 17 Ch. Div. 434; Law of Property Act 1925, s. 205 (xvi.). G. O. S.

OBITUARY

For

Sir HENRY ALEXANDER GIFFARD, K.C. died on the 1st July in his ninetieth year. Sir Henry was educated at Elizabeth College, Guernsey, and Corpus Christi College, Oxford, where, in 1861, he won the Eldon Scholarship. He was called by Lincoln's Inn in 1865 and took silk in 1882. Sir Henry was a Bencher of his Inn, of which he was treasurer in 1911. Nearly thirty years ago he retired from practice in this country and returned to Guernsey and from 1902 until 1908 he held the position of Bailiff of the island. He was knighted in 1903.

Sir WILLIAM HENRY BARBER, Bart., lately a solicitor of Birming ham, died on the 2nd July at the age of sixty-six. Sir William, who was admitted in 1883, was one of the original subscribers to the endowment of the University of Birmingham, and in 1923 himself endowed the chair of law. In 1924 he was created a baronet.

Mr. CLEMENT MARTIN LE BRETON, K.C. died on the 1st July at the age of seventy-six. Mr. le Breton was called by the Inner Temple in 1879 and joined the South-Eastern Circuit. He took silk in 1904 and in 1918 was made Recorder of Sudbury. During the war Mr. le Breton was a Military Services (Civil Liabilities) Commissioner and an arbitrator in industrial disputes for the Ministry of Labour.

Mr. ALFRED CHARLES LARKING, barrister-at-law, died on the 30th June at the age of fifty-seven. Mr. Larking was called by the Middle Temple in 1897.

Mr. GEORGE FREDERICK LEES, solicitor, of Birkenhead, died suddenly on the 2nd July. Mr. Lees, who was admitted in 1889, was well known in the north of England.

Mr. ROWLAND TILDESLEY, solicitor, of Willenhall and Bilston, of the firm of Rowland, Tildesley, and Harris, died on the 2nd July at the age of seventy-two. Mr. Tildesley was admitted in 1877.

Mr. David Calder Leck, K.C. left estate of the gross value of £22,215 (net personalty £17,805).

Mr. John Broadfield Parkinson, solicitor, of Manchester, left estate of the gross value of £10,421 (net personalty £9700).
