Length, 28 miles. Capital, 360,000l. in 107. shares and 120,0037, on loan. Extra land, six acres; compulsory purchase, three years: completion of w..rks, five years. South Yorkshire and Sheffield appoint four directors, and guarantee interest on debentures, and a minimum dividend of 4 per cent. on share capital. Opened 1st January, 1866.

By 27 and 28 Vic.. cap. 91 (23rd June, 1864), the company was authorised to construct a station at Wakefield. Length of new line. mile. Capital (to be kept separate), 80,0004, in shares and 26,600l. on loan. West Yorkshire may contribute 15,000 of this amount. Arrangements for the use of stations by Midland, West Yorkshire, and

Manchester and Sheffield.

By 28 and 29 Vic.. cap. 321 (5th July, 1865), the company was authorised to construct a line from Keadby, on the South Yorkshire, to Lincoln, on the Great Northern. Length, 29 miles. Capital. 400,0001. in shares and 133,000l. on loan. This Act was repealed by 31 and 32 Vic., cap. 55 (25th June, 1868).

By 28 and 29 Vic., cap. 259, the West Riding and Grimsby was authorised to raise additional capital to the extent of 60,000l. in shares and 20,0001, on loan. An extension of time was also conceded in respect to construction of one of the branches. By 29 and 30 Vic., cap. 162 (28th June, 1866) the West Riding and Grimsby was transferred jointly to the Great Northern and the Manchester Sheffield and Lincolnshire, the company to become extinct within one year from the passing of the Act.

By 30 Vic., cap. 49 (31st May, 1867), power was given to the Great Northern and the Sheffield, each to raise additional capital for the purposes of the Wakefield station, to the extent of 20,007., with 6,6001, on mortgage. Arrangements with Midland for use of Wakefield station.

By 30 Vic., cap. 162, the line was vested in the Great Northern and the Sheffield, ceasing to exist as an independent undertaking on 28th June, 1867. The West Riding and Grimsby is now worked jointly, and is arranged by a committee of three directors from each of the two leasing companies.

Incorporated by 20 and 21 Vic., cap. 145 (17th August, 1857), to construct a railway from the Bristol and Exeter, at Taunton, to the harbour at Watchet. Capital, 120,000l. in 10 shares; loans, 40,0001, Length, 14 miles. Broad gauge. Opened 31st March, 1862.

By 23 Vic., cap. 51 (15th May, 1860), certain new works were authorised. Forfeited shares to be cancelled, and re-issued at 5 per cent. preference.

The Bristol and Exeter leases the undertaking, finds all necessary plant, and works the line, paying to West Somerset 55 per cent. of gross receipts, with guarantee that such proportion of receipts shall not be less than 4,5001. a-year.

It was reported in September that the minimum rental for the six months ending 30th June, 1870, after payment of interest on debenture bonds, left a balance of 1,266, applicable to dividend on the first issue of 5,220 preference shares, and of the current expenses. Dividend at the rate of 4. 10s. per cent. per annum on the 57. per cent. preference shares declared. The receipts furnished by the Bristol and Exeter for the six months ending the 30th of June, exhibited an increase of 4441. as compared with the corresponding period last year. The report also stated that negotiations were in progress with the Bristol and Exeter, with a view to making arrangements which, if carried into effect, would increase the value of the West Somerset. 344.-WEST SOMERSET MINERAL.

Incorporated by 20 and 21 Vic., cap. 65 (July 27th, 1857), for making a railway from the Quay, at Watchet, to the parish of Exton, with a branch therefrom. Share capital under this Act, 65,000.; divided equally into A and B shares. Loan capital, 21,500, in substitution for which debenture stock was created and confirmed by Act 32 and 33 Vic., cap. 34, and by the same Act, 8,5001. due on bond was also authorised to be issued in debenture stock, making a total of 30,000. By the Watchet Harbour Act, 1860, the company were authorised to create, and they have created 10,0001. of additional class B shares.

This line is worked by the Ebbw Vale Steel, Iron, and Coal Company (Limited), for 55 years from 24th June, 1861. That company guarantees interest on the mortgage debenture stock, as well as 6 per cent, on the 32,5001. A shares, and 5 per cent. on the 42.5001. B shares. This agreement was sanctioned by 32 and 33 Vic., cap. 34 (24th June, 1869). In operation, 11 miles.

Length, 5 miles. Capital, 75,000l. in 101. shares and 25,000, on loan. Opened 9th October, 1865. Leased to Great Western and South Western, which conjointly work the line, and pay 4,5001. a-year rent, being equivalent to 4 per cent. on the share and debenture capital, and this sum, after payment of the interest on debentures (25,000l. at 41 per cent.) and expenses of management, is divided among the shareholders; per cent. is calculated to cover these expenses, so that a dividend of 41. 78. 6d. per cent. per annum has been, and will in future, be paid, depending on renewing the debentures at 4 per cent.

347.-WHITEHAVEN, CLEATOR, AND EGREMONT. Incorporated by 17 and 18 Vic., cap. 64 (June 16th, 1854). Length, of main line, 4 miles, and of branch, 2 miles. Opened for goods on 11th January; for passengers on the 1st July, 1867, 6 miles.

By 20 Vic., cap. 3 (21st March, 1857), the company was authorised to raise new capital to the extent of 25,0001.

By 24 Vic., cap. 62 (7th June, 1861), the company was authorised to widen and enlarge the railway and works, and to construct an extension from Frizington to Lamplugh. Length, 3 miles. New capital, 45,000l. in 6. ordinary shares, and 15,4001. on loan. Opened for minerals in November, 1862, and for passengers, 12th February, 1864.

By 26 Vic., cap. 64 (8th June, 1863), the company was authorised to construct an extension from Lamplugh to join the Cockermouth and Workington, and make some deviation on the Frizington Branch. New capital, 75,000l. at 5 per cent., and 20,0007. on loan.

By 28 Vic., cap. 86 (19th June, 1865), the company was authorised to construct a line from Cleator to Briggrigg Moor. and other small branches. Length, 14 mile. New capital, 15,0001, in shares and 4,600l. on loan. Productive, 21 miles.

By 29 and 30 Vic., cap. 132 (28th June, 1866), the Whitehaven Cleator and Egremont, jointly with the Whitehaven and Furness, were authorised to construct a line from Egremont to Sellafield. Length, 4 miles. Capital, in equal proportions, 66,000l. in shares and 22,000, on loan. Opened in 1869, and worked by Cleator and Egremont. REVENUE. The receipts for the half-year ending 31st December amounted to 27.4121., and the expenses to 10,6641. The sum available for division was 13,6231., out of which a dividend at the rate of 10 per cent. per annum left 6501, to carry forward.

The receipts for the half-year ending 30th June were 29,9971., and the expenditure 12,6734. After payment of interest on mortgages and other interest charges there was a balance of 14,754., out of which a dividend at the rate of 11 per cent. on the ordinary stock, and of 5 per cent. on the preference shares, left a balance of 4371.

COMMITTEE OF INVESTIGATION.-A committee was appointed in February to inquire into the financial condition of the undertaking, which reported that there were twentyone outstanding claims, the principal sum of which amounted to 11,3741.; and the interest upon them was 1,428. at 4 per cent., 4597. at 5 per cent., 8107. at 7 per cent.,

2641. at 8 per cent., and 9701. at 10 per cent. It was contended in reply, that proper distinc tion had not been preserved between the amount owing by this company upon land claims and that owing by the Furness. The statement was thereupon amended to the effect that, taking the account of principal and interest in outstanding lists on the 31st December, the unsettled claims on the 29th March, less Furness proportion, were as follow:-Claims outstanding, twenty-one, the principal of which amounted to 7,5584; interest at 4 per cent.. 1,3821.; at 5 per cent., 2911.; at per cent.. 1071.; at 8 per cent, 1097.: at 10 per cent., 5977. At a special meeting, the following resolution was carried by 42 to 11:-"That, taking into consideration the prosperity of the railway, which, since the opening in 1856, has yielded dividends averaging 91. 38. 10d. per cent. per annum, and recently 10 per cent., after providing out of revenue a considerable reserve fund for accidents and contingencies, and also considering that the undertaking was never so prosperous as now, the shareholders have satisfaction in expressing their confidence in the present board of directors." It was further reported in August, that nearly all the then outstanding claims for land had been settled, and as regarded the few still outstanding, satisfactory arrangements had been made as to interest. In order to provide further capital for expenditure already incurred, and for additional rolling stock, the directors had applied to the Board of Trade for power to raise 33,000l. by shares and 14,000l. by loans. The line bad been thoroughly and properly maintained, and the rolling stock, which required to be constantly and largely increased, had been attended to. The directors received an offer from the London and North Western to take the line, based upon a dividend of 10 per cent. The offer would be fully and carefully considered by the directors, and after they had fully considered it, the shareholders would be called upon to give their opinion as to whether the proposed terms should be accepted or not.

The construction of the line was commenced in November last, and vigorous efforts are being made to open it for traffic in the course of the summer. The cost of the line, including land and preliminary expenses, will be about 2,6001. per mile.

By 30 and 31 Vic., cap. 180 (12th August, 1867), the company was authorised to make a deviation, and an extension of time till 12th August, 1870, was obtained.

By 31 and 32 Vic, cap. 196 (13th July, 1868), to construct new roads, so as to avoid level crossings, and to raise new capital to the extent of 10 000 in shares and 16,6007. on loan.
