under sect. 27 of C. S. cap. 83, Sec. 28 of the latter act makes the recital conclusive proof of the facts therein stated—and sec. 29, that any incorrectness of recital will not invalidate the by-law, but only make those responsible for the such incorrectness liable. The same provision is also found in sect. 2 of chap 25 of C. S. L. C.

The documents filed by Respondents show on their face that the by-law was drawn up and provisionally passed in due form, that it was duly published, all the notices are produ ced, that it was finally passed and approved as well by the electors as by the Lt. Governor. The Respondents have also proved that valuation rolls had been made within the five years prior to the passing of the by-law as required by sec. 3 of chap. 25 C. S. L. C. although such proof would appear to be superflous when the by law contains, as this does, the recital that all the conditions precedent required by the last act had been complied with.

The by-law refers to an obligation on the part of the railway company, this has been complied with as is shewn by the notarial obligation fyled between the Railway Company and Respondents.

It has also been proved that an apportionment was made and notice thereof given Appellants according to the provions of sec. 60 of chap. 24 C. S. L. C., and art. 940 of Municipal code.

The Respondents submit that they have fulfilled all the formalities necessary and complied with all the conditions precedent to the passing of the by-law in question, and that after this by-law has received the sanction of the Lt. Governor in Council it cannot now be attacked. If any further authorities were required in support of this position Respondents might refer to the Municipal code.

Arts, 938 & 939 provide for the collection of sums due the County Council; the mode and tribunal will be found in art. 951 and interest is claimed under art. 947.

Art. 5 provides that all Municipal by-laws in force at the time of the promulgation of the Code remain in force until set aside. And arts. 461 & 462, that municipal by-laws are binding until annulled or repealed. Art. 463 provides that a by-law submitted

to the electors and approved by the Lt. Governor can only be annulled by another by-law approved in the same manner.

There is to be found in the Municipal Code a means of setting aside a by-law, see art. 698, but this can only be done within three months, art. 708. How therefore can appellants at this time ask the setting aside of the by-law in question. Even if the by-law. was irregular, would the appellants be allowed to ask its nullity by: plea to an action? Or would not the remedy be by direct action, as maintained by the judgment of the Court below?

The appellants may claim that they were entitled to make proof of the allegations of their plea. The only attempt they have made to prove these is by the following question to the witness Houle.

Question.-Est-ce que le poll a été tenu à la demande des électeurs municipaux, et dites ce qui s'est passé ?

This question, as may be seen by the beginningof the deposition, related to the meeting held in the municipality of the parish of St. Germain de Grantham, to take into consi leration the question of the passing of this by-law. The Respondents objected to the question. Their objection reads as follows:

La demanderesse s'objecte à cette question comme illégale et non pertinente, en autant que le réglement en question a été approuvé par le Lieutenant-Gouverneur en Conseil, et comme tendant à prouver contre le certificat du maire et du Secrétaire-Trésorier de la Corporation de la paroisse de St. Germain de Grantham, à l'effet que le dit réglement a été approuvé par la majorité des électeurs, sans qu'un pell fut demandé.

This objection was maintained by the Court below, and appel lants declined to proceed further, judgment therefore went against them. Hence this appeal. Respondents contend that their objection was good and was properly sustained.

The certificates of the Mayor and Secretary-Treasurer of the Municipality fyled of record, to the effect that the poll was demanded, are authentic and cannot be coutroverted without improbation, even if the question was legal, but Respondents claim that the evidence was not legal, in as much as the by-law could not be

attacked or impugned by evidence of the nature sought to be adduced especially in the manner appellants' wish to attack it.

The Respondents therefore confidently trust that the judgment appealed from will be confirmed.

Municipal, de même que sous l'empire de la S. 64 du
Chap. 24, S. R. B. C. il n'existe pas d'action qui tam,
mais une action populaire qui peut être intentée par
toute personne majeure, en son nom particulier, ou par
le Chef du Conseil, au nom de la Corporation Municipal.
On doit attaquer par exception à la forme l'action qu'on
prétend être portée au nom de qui elle ne devait pas
l'être, et non par une défense en droit. L'amende et les
dommages ne peuvent être réclamés dans une même ac-
tion, vu que ces causes de demande tendent à des con-
damnations de différente nature....
