HEREAS C. A. Seager and others have by their petition Preamble.

W represented that an educational institution has been for

some time and is now in operation in this Province in connection with the Anglican Church in British Columbia, under the name of "St. Mark's Hall":

And whereas it would tend to advance and extend the usefulness of the said institution and promote the purpose for which it has been established that it should be incorporated:

Therefore, His Majesty, by and with the consent of the Legislative Assembly of the Province of British Columbia, enacts as follows:-

H. Battershill, H. S. Crotty, H. C. L. Hooper, P. Wollaston, Dean Doull, Archdeacon Scriven, L. Crease, Canon Silva White, E. G. Miller, H. B. Robertson, A. F. R. Martin, H. A. Solly, S. H. Phillimore, C. R. Hamilton, F. H. Graham, T. W. Sterling, C. R. Littler, E. A. Crease, A. D. Taylor, F. Richardson, W. Taylor, Hon. Price Ellison, A. McE. Creevy, H. F. Tremaine, E. J. Deacon, M. P. Cotton, R. H. S. Cresswell, and such other persons as shall hereafter become members of St. Mark's Hall as hereinafter provided, shall be and are hereby constituted a body politic and corporate by and under the name of "St. Mark's Hall" (hereinafter called "the Corporation"), and shall constitute the first Council of St. Mark's Hall, and shall continue to hold office until their successors are appointed as hereinafter mentioned.

2. The Corporation shall by the name of " St. Mark's Hall" have Power to hold perpetual succession and a common seal, and by such name may

from time to time and at all times hereafter acquire by purchase, gift, devise, bequest, or otherwise, and may hold, possess, and enjoy, real and personal property of every nature and kind situate either within or without the Province, and especially such lands, tenements, and hereditaments within the Province as may be necessary for actual use and occupation as hall buildings and offices, residences for professors, tutors, students, and officers, with gardens or pleasuregrounds pertaining thereto, together with all libraries, furniture, and fixtures used in connection therewith, and the Corporation shall have, for the purposes and benefit of the hall or halls to be established and maintained hereunder, power to sell, lease, alienate, and dispose of any such property for such consideration as may be agreed upon.

3. The Corporation shall, so far as and to the full extent as its resources from time to time permit, provide for

(a.) Such instruction in all branches of liberal education as may enable students to become proficient in and qualified for degrees in theology in connection with the Anglican Church in British Columbia; and

(b.) Such fellowships, scholarships, exhibitions, prizes and rewards, and pecuniary and other aids as shall facilitate or encourage proficiency in theology in connection with the Anglican Church in British Columbia.

4. The Corporation shall have and is hereby given full power and authority to borrow such sum or sums of money from time to time as may be necessary for its purposes, either with or without security, and shall have power and authority to mortgage or pledge any or all of its land, tenements, or hereditaments or any other of its property for securing such sum or sums borrowed, or for securing any part of the purchase-money of any such lands, tenements, or hereditaments.

5. The Corporation shall have power for the purposes of the Corporation to execute deeds, agreements, bills of sale, mortgages, bills of exchange, promissory notes, and other like documents.

6. The Corporation shall have full power and authority to invest all or any sums of money of or belonging to the said Corporation, or given or bequeathed to it, in any bonds or securities of the Dominion or of any Province thereof, or of Great Britain and Ireland, or in any debentures of any of the municipalities of this Province, and also to loan and invest any such moneys upon the security of any real or personal property; and the said Corporation may, under its corporate name or in the name of any person or persons as trustee or trustees, take and hold any real or personal property or any interest therein by way of mortgage to secure any such investment.

7. Every male member of the Church of England in the Province Membership. of British Columbia shall be entitled to become a member of St. Mark's Hall upon payment of an annual subscription as follows:In the case of clergymen, three dollars per year; and

In the case of laymen, five dollars per year;

and shall continue as a member so long as such annual subscription is paid. Any person who is eligible may become a life member upon. payment of an amount in one sum to be fixed by the Council.

8. The members of the Faculty of the Corporation shall be Faculty as ex-officio members of St. Mark's Hall.

9. The annual meeting of the Corporation shall be held on St. First meeting. Mark's Day, or on such later date as the Council may appoint, and at such meeting the election of officers of the Corporation—namely, chairman, vice-chairman, secretary, and treasurer-and the election. of the Council shall take place, and general business bearing on the affairs of the Corporation shall be transacted.

10. The affairs of the Corporation shall be administered by a Annual meeting. Council consisting of forty-five elected members, eighteen clerical,

and twenty-seven lay, or as may from time to time be provided in the by-laws of the Corporation.

11. The Council shall have the whole management of the finan- Council. cial affairs of the Corporation, and shall receive and disburse all its moneys, control, keep, and manage all its property, and transact all business relating to its property.

12. (1.) The Council shall have power from time to time to Management appoint and, as they shall have occasion, to remove the principal or other head, and the professors, tutors, or masters, and all other officers, agents, or servants of the said Corporation, in accordance with the Corporation's by-laws.

(2.) The principal or other head of the said St. Mark's Hall shall be a clergyman in priest's orders of the Anglican Church.

13. Without thereby limiting the general powers by this Act Appointment of conferred upon and vested in the Council, it is hereby declared that Council. the Council shall have the following powers:

sive power and authority to exercise in the name of and
for the benefit of the Corporation, and as the act and deed
of the Corporation, any or all of the powers and authorities
and privileges by this Act conferred upon the said Corpora-
tion as a body politic and corporate:

(b.) To maintain and keep in proper order and condition such
real property as it may deem necessary for the use of St.
Mark's Hall, and to erect and maintain such structures
thereon as in its opinion are proper and necessary:

(c.) To lay out and expend such sums as may be deemed necessary for the support and maintenance of St. Mark's Hall, and for the betterment of existing buildings and the erection of such new buildings as the Council may deem necessary for the use and purpose of the Corporation, and for the furnishing and equipment of such existing and newly erected buildings:

(d.) To lay out and expend such sums as it may deem expedient for the erection, equipment, furnishing, and maintenance of residences and dining-halls for the use of the students of St. Mark's Hall, whether such students be graduates or undergraduates, and to make such rules and regulations as to the management, government, and control thereof as may seem meet:

(e.) To select a seal and arms for St. Mark's Hall and have the sole custody and use of the seal:

(f.) To do and perform all other matters and things which may seem fit and needful for the safe ordering and advancement of the Corporation, the doing of such things not being repugnant to this Act or to any law in force in the Province.

14. The Corporation may delegate any or all of its powers to the Council, and the Council may delegate any or all of its powers to an executive committee to be appointed by the Council.

15. The Corporation may from time to time make rules and by-laws for the maintenance and government of the said Corporation and for the guidance of the Council, and may alter, amend, and annul the said rules and by-laws from time to time: Provided always that such rules and by-laws be not counter to this Act or repugnant to the laws of this Province. The said rules and by-laws shall be entered in a book kept for such purpose and signed by the chairman of the Corporation and by the secretary thereof. A copy of the said rules and by-laws certified under the hand of the secretary of the said Corporation shall be admitted and received as evidence of the said rules and by-laws and the contents thereof in any Court of this Province and for all purposes without proof of the signature of the said secretary.

16. It shall be lawful for any person or persons or corporation to convey and transfer any property, real or personal, held in trust by him or them for or on behalf of the said educational institution mentioned in the preamble to this Act, to the said Corporation hereby established, to be held in trust for the same purposes; and all debts due by and all claims against any person or persons on behalf of the said institution shall be paid, discharged, and satisfied by the said Corporation.
