The Adulteration of our Food has become so dangerous and universal a practice, that the Legislature have deemed it necessary to inquire searchingly into the social evil by means of a Committee of the House of Commons, which has found it to be no fanciful chimera, but a dangerous fact, that nearly all the necessaries of life are fearfully adulterated.

The Times newspaper has made the most strenuous efforts to arouse the attention of the public to a sense of the dangers they incur from the present system, and the importance of an effectual remedy being found. In one of its leading articles the evil is thus graphically depicted:

"We pay not only with our money but our lives. For the worst of it is, that the articles we purchase are not merely diluted they are adulterated-positively abominably. poisonously. There is scarcely a single article of daily use which it is possible to procure genuine from ordinary shops. "We ask for Bread, and we receive a Stone"For Coffee, and we receive Chicory

"For Chicory, and we receive Burnt Carrots, and Powder of Dried Horses' Liver

"For Oil of Almonds, and we receive Prussic Acid.

"What are we to do when our meat and drink are poisoned?" And again

"Surely any one of respectability sufficient to gain credence for his assertion would make a fortune were he to set his face strenuously against all imposture, and determine to sell only genuine articles, even at a slightly enhanced price."

There is no exaggeration in saying that numbers of invalids, delicate women, and tender children, have fallen victims to adulterations of food, drink, and drugs. Paralysis has also been clearly traced to this cause, and the universal diffusion of indigestion owes its origin very largely to the effect of the dangerous adulterations of our food.

To remedy this great social evil, the London Adulterated Food Company is established.

Each article vended will be manufactured or prepared entirely by the Company, and foreign productions will be imported direct; it will therefore derive the profits of both manufacturer and dealer, at the same time that it ensures perfect freedom from adulteration.

A wholesale and export trade of unequalled magnitude may already be considered as guaranteed.

Shareholders will have the privilege of purchasing their goods of the Company at wholesale price. The great additional value that will attach to the shares from this regulation is obvious.

Amongst the questions put to one of the witnesses by the Committee of the House of Commons were the following:

Q. Is it your opinion that adulteration is very prevalent? A. I find adulteration to be exceedingly prevalent; it may be stated, generally, that it prevails in nearly all articles which it will pay to adulterate.

QIs it your opinion that the adulterations of the various articles to which you have referred have a very important influence on the public health?

A. No doubt, I think, can posssibly be entertained on the subject in the list are some of the most virulent poisons. FORM OF APPLICATION FOR SHARES.

Profession or business.... Residence

Each application must be accompanied by a remittance of, or a banker's receipt for, 12. per share. Should the full number of shares applied for not be allotted, a proportionate part of the amount will be immediately returned, or applied to the payment of the remaining 4l. per share upon the number allotted.

EXTRACTS FROM THE CITY ARTICLES OF THE DAILY PRESS. "The prospectus has been issued of the London Unadulterated Food Company,' with a capital of 100,000, in 207. shares. It is respectably constituted, and the object is to manufacture and sell some of the articles of food which are most exposed to deleterious admixture, in a form that will guarantee their genuiness. Dr. Letheby is to be the chief analyst, and the names of the various dealers authorised to sell the Company's goods will be advertised in the local papers throughout the country."--Times, February 27, 1857.

"The establishment of such a company is a natural necessity, as well as a moral boon, and it is consequently one that should be encouraged in every possible manner by the public, or by that portion at least which values its health and existence. It is by no means surprising, therefore, to find that gentlemen of high station have consented to ally their names and influence to the promotion of the Unadulterated Food Company:' and there can be scarcely a doubt that, if the objects laid down in the prospectus are energetically pursued, and the reputation of the Company established for the supply of aliment in the highest state of purity, that it will answer well as a commercial enterprise, and fully justify the expectations of the promoters."-Morning Post, February 28, 1857.

"The company have secured the services of that eminent man, Dr. Letheby, Professor of Medical Jurisprudence at the London Hospital, and Officer of Health for the City of London, as chief analyst. This fact is a proof that if science can be beneficially directed towards the detection of deleterious compounds in the substances on which we exist, it will be called into request."--Morning Herald, February 28, 1857.

"It has a respectable direction, and Dr. Letheby is the chief analyst. The company will hold themselves pledged to the parity of every article sold by them, and are determined that not merely the purity but the general condition of the goods shall be all that the most efficient supervision and improved machinery can make them. After careful calculation, and allowing for every contingency, it is anticipated that the net profits will realise at least 5 per cent. per annum."-Morning Chronicle, February 28, 1857.

THE LOW FURNESS

[blocks in formation]

STEEL COMPANY (LIMITED). Incorporated under the Joint-Stock Companies Act 1856. Capital, 60.0007., in 6000 Shares of 10. each. This Company is formed under the Joint-Stock Companies Act 1856, by which the liability of each shareholder is limited to the amount of the share or shares for which he subscribes.

This Company is duly registered, and certificate of incorporation granted.

The purpose for which it is formed is, to purchase and extend the Low Furness Iron nd Steel Works, now carried on at Ulverston.

The works are advantageously placed on the bank of the Ulverston Canal, and afford scope for the profitable employment of an increased capital, as the demand for the peculiar quality of iron made exceeds the quantity produced.

The first issue of shares will be restricted to 4000 in number, of which 2000 are taken by the present proprietors in part payment for the buildings, fixed plant, tools, lease and goodwill.

The reserved issue of 2000 shares will be made hereafter, for the purpose of extending the works.

It is calculated that the profits, after all due allowances for a reserve fund, &c., will afford a dividend of 12 per cent. The calls are fixed at 21. 10s. per share upon allotment, 27. 10s at three months, 27. 10s. at six months, and 24. 10s. at twelve months from allotment.

Statements of costs and plan of works may be seen upon application at the Company's registered Office, 48A, Moorgatestreet, London; at my Office in Ulverston; or at the works, where also prospectuses and form of application for shares may be obtained. JAMES DAVIS, Manag ng Director.

[blocks in formation]

This Company, formerly the Cornwall and Express Steam Company, is now registered under the Joint-Stock Companies Act 1856, and proposes to limit its nominal capital to 28,750, divided into 1150 shares of 251. each. The working capital

required will only be four-fifths of this sum, or 23,000, being 201. per share, which is deemed sufficient to meet the contemplated objects of the Company. The remaining 5. per share will not be called up, so far as the Committee can now anticipate.

A first-class A 1 twelve years iron steamer is now being built at Hayle, by Messrs. Harvey and Co., under the direction of the committee, capable of carrying 200 tons of cargo, with ample accommodation for passengers. Messrs. Harvey and Co. have undertaken that she shall make her passage in one tide (in ordinary weather) with precision, between Hayle and Brisiol, either on the up or down voyage. This steamer is contracted for complete and ready for sea, at the sum of 18,0002.

The Cornwall steamer will be sold when the new steamer is ready for sea, which it is calculated will be about the end of the present year; the Express steamer will then be withdrawn from the Hayle trade, and placed upon the Padstow station. This company's trade between Hayle and Bristol will then be carried on with the new iron steamer, in place of the Cornwall and Express steamers employed at present. The Cornwall steamer will realise 20004 (which sum has been guaranteed). The Express steamer is valued in 5000, leaving 16,000l. to be raised by the issue of 800 new shares, of 201. each, payable in four instalments, the first to be payable by the shareholders on their receiving a certificate of registration of their shares; the second on the 1st of May following; the third on the 1st of October following; and the fourth on the 31st of December following; and to carry interest at the rate of 5 per cent. per annum from the day of payment, until the new steamer be ready for sea, until which date, after providing the interest payable on the new issue of shares, the surplus profits which may be realised by the Cornwall and Express steamers, with any excess beyond 20007. on the sale of the Cornwall, will be divided pro rata among the shareholders in the late Cornwall and Express Steam Company."

As the shareholders in the Cornwall and Express Steam Company have taken a large number of the new shares, no charge or payment will be made or required, directly or indirectly, from the new shareholders, for goodwill, establishment, premises, or for the established trade. A dividend of 15 per cent per annum, besides a further sum to be set aside as a reserve or depreciation fund, may be safely calculated upon, founding this calculation upon the experience of the existing company.

It being deemed for the interest of the Company that the number of shareholders should be reasonably limited, it is proposed that every shareholder shall apply for at least five shares.

Forms of application for shares may be had of Mr. JOHN VIVIAN, Manager of the Cornwall and Express Steam Company, at Hayle.

The Patent Omnibus has received the approval of the city and police authorities, and the most eminent London coachbuilders. Those interested can satisfy themselves by per sonal inspection of its great superiority.

The amount of each share has been placed as low as 17,2 order to obtain a greater amount of subscribers, whe vi have a personal interest in the progress of the Comp Omnibus travellers becoming shareholders will be able exercise a control over the management, and, at the same time, profitably invest a portion of their capital.

"A treatise, by Mr. Edmund Powell, of the Inner Temple, Barrister-at-Law, has recently been published, and which will tend to fill up a vacancy in this branch of commercial jurisprudence, which has hitherto attracted but little attention from the Profession. An American treatise, by Mr. Angell, appears to be the only modern work on the subject: and the treatise under notice includes the multitude of cases which have been tried in the English courts since the appearance of that volume. The work extends over upwards of 300 pages, containing the Acts relating to carriers without, and carriers with hire; who are, and who are not, common carriers; their general duties; extent of liability; their rights, mode of action, pleading and evidence; and the volume will be found of much interest and utility to merchants, traders, railway and canal companies, carriers and others."-Mining Journal. "The Law and Practice of Joint-Stock Companies.-A second edition of Mr. E. W. Cox's work on the new Act has just been issued, but it is really a totally different compilation, and may be called a new work. Although the first edition contained some very useful hints, it could only be considered as a reprint of the Act itself, with a series of short notes. In the present, however, the Act plays but a subordinate part, and the work is converted into an elaborate treatise on the subject, giving in the clearest and most concise form all the information that can be required by the legitimate promoter of industrial enterprise, by the speculating schemer who gains his livelihood by concocting bubble companies, or by the public generally. To the second class this work will prove almost nvaluable."-Mining Journal, Aug, 16, 1856.

This work will be found useful, not only to lawyers, but to all persons coun cted with joint-stock companies, whether as directors, shareholders or creditors."-Leeds Mercury.
