PREFACE TO SECOND EDITION.

THE object of this work is to bring together a body of Forms and Precedents for use in relation to the formation, working, and winding up of companies under the Companies Acts 1862 to 1880.

A considerable amount of space is devoted to notes explaining the Forms and Precedents, and illustrating them by references to the decided cases and to the statutes.

In this edition extensive additions have been made, of which the following divisions may be specially mentioned-PROSPECTUSES: which deals with the points that require attention in settling a prospectus; WINDING-UP : which includes upwards of three hundred and fifty precedents of orders and other forms; ARRANGEMENTS : which contains a number of schemes, petitions, orders and other forms used in the case of arrangements sanctioned by the Court under the Act of 1870; and PRIVATE ACTS which includes various examples of Acts that have been obtained by companies subject to the Act of 1862.

Moreover the division of ORDERS, which contains a number of judgments and orders in actions and proceedings by and against companies, is almost entirely new. The division of PROVISIONAL ORDERS OF THE BOARD OF TRADE contained in the first edition has been omitted in favour of matter more generally useful.
