New Legislation

ON Wednesday the Royal Assent was given to several measures of prime importance. First and foremost the Law of Property (Amendment) Act 1926 was placed on the Statute Book, and it is dealt with by us this week (infrà). The Bankruptcy Amendment Act, the Weights and Measures Act, the Economy (Miscellaneous Provisions) Act, and the Local Authorities (Emergency Provisions) Act have all become law, and we trust that there will be no delay before they are all issued by the King's Printers.

Mr. Upjohn, K.C. and the Bar Council

WE publish in another column (post, p. 494) Correspondence arising out of an opinion expressed by the Bar Council that Mr. Upjohn, K.C. ought not to appear in an Indian Appeal." At the outset we must express the view that it is a pity the Bar Council did not communicate directly with Mr. Upjohn before expressing the opinion set out in the correspondence, and perhaps some grievance exists on this score. But having regard to the contents of the first two letters it can hardly be said that they were without good ground for thinking that they were in possession of the whole of the facts; and at any rate they made it clear subsequently that they were quite ready to consider any further information or observations, but re-consideration was emphatically refused by Mr. Upjohn. A much wider question, however, is raised by the correspondence, namely, Can counsel who has advised one party in a litigation appear for the opposite party in the same litigation? And to that in general there can be only one answer, and that in the negative. The suggestion made by Mr. Upjohn, that "the result of the rule so laid down by the Bar Council is that any party to a litigation who

desires to prevent a particular counsel (or any number of counsel) from appearing against him, without incurring the expense of briefing that counsel (or all the counsel in question), has only to deliver a case to such counsel and to obtain an opinion from him (or them), and is then in a position to exclude such counsel (or all such counsel) from appearing in the case for any party," can be dealt with when such a case arises. It must be borne in mind that the rules and regulations which deal with the professional conduct of barristers, and the etiquette and practice of the Bar, are not to be construed like statutes or considered as judgments of a court of law. In all these matters there is one sound rule of guidance to be applied by any member of the Bar who may feel embarrassed as to his conduct in a particular case. He must view the situation from the other side.

Public Trustee Report

THE result of the year's working ending the 31st March last shows a surplus of £24,809 as compared with a surplus of £37,182 for the previous year, £30,869 for 1923-1924 and £74,522 for 1922-1923. "Salaries, wages, and allowances " still show a steady increase, being £202,150 for the year ending March 1926, the figures for the two preceding years being £185,026 and £192,217 respectively. The last reduction of fees only came into operation in January last, so the effect upon the finance of the department is not yet apparent. It will be remembered that the heavy deficits in this office in 1919-1920 and 19201921 were checked by the increase of fees. A surplus then was shown and a reduction followed. Perhaps by now some stability in the financial arrangements has been found. At the end of the year the number of cases under administration was 16,455 and the number completely distributed 698. The staff consists of 759 members, 246 being men and 513 women and the total expenses amounted to £247,450.

THE LAW OF PROPERTY
(AMENDMENT) ACT, 1926

THE Law of Property (Amendment) Bill has now passed both the House of Lords and House of Commons, the extensive amendments made by the House of Commons have been accepted, and it has received the Royal Assent. It has in its passage through Parliament increased materially in size. The original Bill, printed in the LAW TIMES (ante, p. 243), consisted of seven sections with a schedule containing fourteen minor amendments. The Act as it now stands consists of eight sections with a schedule of twenty-nine minor amendments, some of these latter being of considerable length and importance. The principal new amendments introduced since the Bill's first appearance deal with points which have arisen under the Settled Land Act, 1925 and the Law of Property Act, 1925. There has also been an additional alteration to the Trustee Act, 1925 and to the Land Charges Act, 1925. The Administration of Estates Act, 1925, which has already in its brief life been repealed in parts and re-enacted in the Supreme Court of Judicature (Consolidation) Act, 1925, is not further altered. It is only proposed to deal with the principal alterations in the real property Acts made by the amending Bill. All the amendments are of importance to practitioners as they especially deal with the practical working of the new law.

Sect. 1 of the amending Act is designed to meet one of the most discussed difficulties created by the Settled Land Act, 1925. It provides (sub-sect. (1) that a person beneficially entitled to land for an estate in fee simple, or for a term of years absolute, subject to any estates, interests, charges or powers of charging, subsisting or capable of being exercised under a settlement, who, under sect. 20 (1) IX. of the Settled Land Act, is a person having the powers of a tenant for life, can, notwithstanding the Act, convey or create a legal estate subject to a prior interest as if the land had not been settled land. Sub-sect. (2) provides that " (a) Where a legal estate has been conveyed or created under sub-sect. (1) of this section, or under sect. 16 of the Settled Land Act, subject to any prior interest, or (b) where before the 1st Jan. 1926 land has been conveyed to a purchaser for money or money's worth subject to any prior interest whether or not on the purchase the land was expressed to be exonerated from, or the grantor agreed to indemnify the purchaser against, such prior interest, the estate owner for the time being of the land subject to such prior interest may, notwithstanding any provisions contained in the Settled Land Act, 1925, but without prejudice to any power whereby such prior interest is capable of being overreached, convey or create a legal estate subject to such prior interest as if the instrument creating the prior instrument was not an instrument or one of the instruments constituting a settlement of the land."

This section enables a person who is within sect. 20 (1) IX. of the Act, or whose land, on the ground that it is charged with the payment of a rentcharge, &c., for the advancement, maintenance, or otherwise for the benefit of any person, is settled land under sect. 1 (1) V., to sell subject to such rentcharge without resorting to the machinery of the Act and the expense of the appointment of new trustees for the purposes of the Act and the execution of a vesting deed. In taking a conveyance under the power thus conferred a purchaser does not get the unincumbered fee simple obtainable if the procedure set up by the Act is followed. Presumably, if the incumbrancer is able to release and does release his interest, the purchaser will obtain such an unincumbered estate. However, as sect. 42 (1) (b) of the Law of Property Act, 1925 remains unaltered, a purchaser cannot be forced to accept a title made in this way. The amendment, therefore, is only of importance where the sale is made subject to incumbrances; where the legal estate is sought to be conveyed free from incumbrances the purchaser will probably insist on his rights under sect. 42 and the machinery of the Act will have to be employed.

Sect. 2 of the amending Act adds a proviso to the end of sub-sect. 2 of sect. 140 of the Law of Property Act. The amendment is designed to secure compensation to a tenant under the Agricultural Holdings Act, 1923, where he receives notice to quit in respect of part of his land.

Sect. 3 extends the meaning of the expression "Trust Corporation" for the purposes of the new Acts. It includes now, amongst others, a trustee in bankruptcy and what are known as Board of Trade companies.

Sect. 4 adds to the powers conferred by the Land Charges Act, 1925. It provides that any person intending to make an application for the registration of any contemplated charge, instrument, or other matter in pursuance of the Act may give a priority notice in the prescribed form at least two days before the registration is to take effect. The section provides for the effect of the notice and for rules to be made determining the method of application. The section has not been substantially altered since the introduction of the Bill except that sub-sect. (2) provides that: "Where a purchaser has obtained an official certificate of the result of search, any entry which is made in the register after the date of the certificate and before the completion of the purchase, and is not made pursuant to a priority notice entered on the register before the certificate is issued, shall not, if the purchase is completed before the expiration of the second day after the date of the certificate, affect the purchaser." This is designed to obviate the difficulty which exercised the mind of country solicitors as to what are known as last minute entries. It was feared that, however late the search was made, if the conveyance was not executed immediately a subsequent entry on the register would jeopardise the purchase. This section gives a margin of two days after the search and will enable conveyances to be executed in the country with safety.

Sect. 5 has remained unaltered throughout the course of the Bill. It is designed to bring into line registered land with other land. Under the Law of Property Act, 1925, s. 94 (1) (c), a prior mortgagee has a right to make further advances to rank in priority to subsequent mortgages (whether legal or equitable), whether he has notice or not of such mortgages, where the mortgage imposes an obligation on him to make such further advances. Sect. 5 provides for the addition to sect. 30 of the Land Registration Act, 1925 of the following clause: "Where the proprietor of a charge is under an obligation, noted on the register, to make a further advance, a subsequent registered charge shall take effect subject to any further advance made pursuant to the obligation."

Sects. 4 and 5 are not retrospective in operation, and only come into operation from the date when the Act became law. Sect. 6, which was not found in the Bill as first drafted, is designed to modify the stringency of sect. 13 of the Settled Land Act, 1925. Under this section, if the tenant for life, before a vesting instrument is executed in his favour, conveys or joins with the remaindermen in conveying the settled land to a purchaser with notice of the settlement the conveyance only operates as a contract for valuable consideration to carry out the transaction after the requisite vesting instrument has been executed. The section as it stands makes such a conveyance wholly nugatory. When a vesting instrument is executed the legal estate passes to, or is declared to be vested in, the tenant for life, who must then execute a fresh conveyance in accordance with the provisions of the Act. Sect. 6 of the amending Bill inserted the following proviso after sect. 13 of the Act: " Provided that where the purported disposition was such as would but for the foregoing provisions of this section have been effective to carry out the transaction then immediately upon the execution or making of the requisite vesting instrument such disposition shall take effect according to the terms thereof, and shall be deemed to have so taken effect as from the date when the same was made." This amendment would have had the effect of satisfying and legalising a conveyance which would otherwise under sect. 13 take effect only as a contract for valuable consideration to carry out the transaction when the vesting instrument required has been executed. This, however, was struck out, and the following addition was made instead to sect. 13, "Nothing in this section affects the creation or transfer of a legal estate by virtue of an order of the Court or the Minister or other competent authority." Somewhat curious "redrafting."

The minor amendments contained in the schedule to the Amendment Act deal principally with practical defects which have come to light since the new legislation has been in operation. They do not effect, as a rule, any change in the principles of the Acts or in the general working of their provisions, The object of the schedule for the most part is either to explain the new Acts where doubts as to their effect have been raised, or to carry out more adequately the intention of the draftsmen where this has not been done in the first instance, or to provide relief where the Acts work out oppressively or are unnecessarily complicated.

The schedule will be of considerable importance in practice and should be most carefully considered.
